Notice of Special General Meeting

The SaskMusic Board of Directors has called a Special General Meeting to be held Monday, May 25, 2015 at 7pm at the SaskMusic office, 202-226 20th Street West, Saskatoon, to conduct voting on the following Special Resolution.
For those who cannot attend this meeting in person, online voting is available NOW. See below.
Please register your vote either online prior to 12pm on May 25, or in person at the May 25 meeting.

As this is a Special Resolution, we require a quorum of at least 25 registered votes, as well as a 2/3 majority in favour, in order for this Resolution to pass.

The results of this Resolution vote will determine if there will be a Board of Directors election conducted at this year's Annual General Meeting. The AGM is scheduled for Saturday, June 20 in Saskatoon - save the date!

Rationale for this request

SaskMusic has changed our fiscal year end to coincide with that of Creative Saskatchewan, at their request, in order to better align our financial reporting. As a result, we are now in a very short fiscal year. The board proposes that rather than holding board elections at the forthcoming June 2015 Annual General Meeting, that the membership agree to extend the current board’s terms as noted in the following Special Resolution. This will allow the current board to maintain its established committee structure and help with association continuity in light of new financial reporting requirements and a new Executive Director.

With reference to SaskMusic bylaws

20. Subject to the following provisions at least one half of the Directors of the Corporation shall be elected at the annual general meeting of the Corporation, or at any special meeting of the regular Members called for the purpose of election of directors.
(a) A Director's term of office shall be approximately two (2) years from the date of the meeting at which the Director is elected, until the second annual general meeting next following.

14. (b) The following business shall be transacted at the AGM:
(iv) Board elections shall be conducted.
(c) A Special General Meeting of the Corporation may be called any time at the discretion of the President, or of the Board, or by petition of no less than twenty percent (20%) of the current Members in good standing.

The Board hereby motions that a Special General Meeting of the Corporation be called in order for the membership to vote on the following

SPECIAL RESOLUTION:

Whereas: The current Board of Directors will have served shorter than usual terms of office due to the change to the organization’s fiscal year-end date, resulting in an Annual General Meeting (AGM) taking place in June rather than November 2015;
Therefore: the Board requests the Members’ permission to extend all current board members’ terms by an additional 12 months for this existing period ONLY;
That is, directors who were elected in November 2013 and are scheduled to complete their term with the June 2015 AGM would then not expire until the June 2016 AGM; and those directors who were elected in November 2014 and are scheduled to complete their term with the June 2016 AGM would then not expire until the June 2017 AGM.

Further, the Board requests for clarification purposes that quorum for this Special General Meeting may be achieved through a combination of online and in-person voting. As long as a minimum of 25 members register a vote, this shall constitute quorum. Note: Special Resolutions require a 2/3 (two-third) majority in order to pass.
